PRELIMINARY LLC NAME CLEARANCE.
Check the Secretary of State's records to determine whether the name selected for
YOUR business is available.
FILING ARTICLES OF ORGANIZATION WITH TEXAS SECRETARY
OF STATE.  
Review YOUR company's articles of organization for correctness and file Texas
Secretary of State.
OBTAIN EMPLOYER IDENTIFICATION NUMBER FROM THE
INTERNAL REVENUE SERVICE.
Register YOUR business with the IRS.
CONSULT WITH AN ATTORNEY.
Consult with you regarding additional issues that may be relevant to YOUR
business, e.g. applying for a sales tax permit, registering with the Texas Workforce
Commission, obtaining liability or worker-compensation insurance, holding the
entity's first organizational meeting, preparing by-laws or regulations.
COMPLETE NEEDED REGISTRATIONS.
Completeregistrations with Comptroller's office, Workforce Commission, and other
state agencies as needed that YOUR business may need.
  
DRAFT BYLAWS OR REGULATIONS.
Consult with organizers and draft bylaws/regulations for adoption by
shareholders/members at first organizational meeting.  Regulations govern how
YOUR business is operated and provide for contingencies such as taking on
additional shareholder/members.
  
PROVIDE RESOLUTIONS AND DOCUMENTS FOR YOUR FIRST
ORGANIZATIONAL MEETING.
Provide you a set of resolutions suitable for adoption at YOUR first organizational
meeting.  These documents memorialize the adoption of the organization's bylaws,
approval of a bank, and other similar actions.
  
INSTALL QUICKBOOKS CUSTOMIZED FOR YOUR OPERATION.
We will consult with your staff to install Quickbooks, customize it for your operation,
develop payroll modules as needed, install up-to-date tax tables, and provide initial
training in how to use the system..
    
An attorney-client relationship is not established until you complete a client
engagement letter and provide corporate registration information required by the Texas
Secretary of State.
